Minutes of the Management/Legal Documents Committee Meeting of Tuesday, May 22

Recently TCHDC had asked us to undertake a variety of administration work that has come up for the Cooperative. That work includes:

---Creating a communication plan between the Tilsner, TCHDC and the Partnership
---Review the REE lease
---Review and update the Tilsner Occupancy Agreement
---Reviewing the new selection and interviewing process for new Tilsner residents
---Review the Painting and Cleaning Committee processes

1. At our meeting last week we made it through about half of the above work. This week we decided to take up reviewing the REE Lease, and the Tilsner Occupancy agreement.

2. We read through the Tilsner Occupancy agreement and it appears to be the one that the Tilsner has always had in place. We discussed some of the sections on the Occupancy agreement, and brought up some questions.

3. We then read through the REE Lease. We generated another round of questions from this review. We noted that there is a LOT of information in the Occupancy agreement that is NOT in the REE lease, and in some instances, this was a concern to us. We also noted that the REE lease includes information that is in direct conflict with some of our approved Cooperative policies. This made everyone at the meeting extremely concerned. Deneen has written to TCHDC, asking for clarification on what we are supposed to do with these two documents. TCHDC wrote back and stated that they will be getting rid of the Tilsner Occupancy agreement, and they hope to replace it with the REE Lease. However we can create a new Occupancy agreement/REE Lease hybrid document instead for the Cooperative if we like. We will most likely go that route, as again the REE lease does not contain information that necessarily agrees with our Cooperative Policies, and also there is information in the Occupancy agreement that is not in the REE lease.

4. TCHDC also offered to have someone come to the Tilsner to talk through some of this work, or help review our new document. We will most likely set something up with TCHDC in the future.

Meeting adjourned after about two hours. This work will be completed at an upcoming meeting. We need some clarification from TCHDC before we can move forward.
